Genesis Minerals Ltd. has launched a AU$12.6 billion binding merger proposal for rival Vault Minerals Ltd., disrupting Vault’s planned AU$10.7 billion tie-up with Regis Resources and aiming to create the ASX’s third-largest gold producer.
Under the proposed scheme of arrangement, Vault shareholders would receive 0.7629 new Genesis ordinary shares plus 47.5 cents in cash for each share held. The offer implies a total consideration of AU$5.2741 per share, valuing Vault at approximately A$5.6 billion.
This represents a 14.5 per cent premium over the implied offer price under the existing Regis scheme, and a 15.7 per cent premium to Vault’s last closing price.
The Vault board has unanimously determined that the Genesis bid constitutes a ‘Vault Superior Proposal’ over its current agreement with Regis, which was originally struck on May 5.
The move has thrown a spanner into the works for Regis Resources, triggering a five-business-day matching window that expires at the end of July 10.
Regis has confirmed it is reviewing its position and rights under the current agreement. Until the matching period concludes, Vault is contractually barred from entering into a definitive agreement with Genesis.
If implemented, the transaction would consolidate a dominant production footprint in Western Australia’s world-class Leonora-Laverton gold district.
Genesis estimates the operational overlap will unlock roughly AU$2.0 billion in post-tax synergies. This includes AU$1.5 billion over 10 years, made possible by the tight 35-kilometre proximity of the companies’ operations.
A key driver of these savings is a projected AU$715 million reduction in growth capital expenditure, achieved by processing Tower Hill ore through Vault’s lower-cost King of the Hills (KOTH) mill rather than building new facilities.
The enlarged Genesis Group would boast a pro-forma market capitalisation of AU$12.6 billion, annual gold production between 600,000 and 700,000 ounces, and a robust balance sheet with A$611 million in net cash.
The combined company would be led by the current Genesis executive team, with Raleigh Finlayson serving as Managing Director.
Genesis also intends to reconstitute its board to include three Vault nominees, inviting Vault’s current leadership, including Russell Clark, to step into the role of Chair.
