HyTerra Ltd. has implemented a sweeping cost-reduction program while moving to simplify its capital structure and enhance trading access for United States investors.
The company has reduced recurring corporate overheads by 30 per cent on a cash basis, or 21 per cent after accounting for new strategic initiatives. The savings stem from board and executive realignments alongside voluntary remuneration adjustments.
HyTerra CEO Riley Kemp agreed to forgo AU$70,000 of his fiscal 2027 contracted salary in exchange for proposed equity incentives, while non-executive director John Langoulant AO will receive fees in shares rather than cash through to the 2027 Annual General Meeting. Newly appointed non-executive director Spencer Davey, representing Fortescue, will receive no director fees.
Former Director Benjamin Mee has transitioned into management as Chief Growth Officer, while Curtis Abbott assumes the roles of CFO and Company Secretary.
Part of the operational savings will be reinvested into expanding artificial intelligence and data evaluation capabilities across HyTerra’s project pipeline.
“We have lowered HyTerra’s cost base to preserve more capital for our technical and growth priorities,” Kemp said.
“At the same time, we are simplifying our capital structure, improving access for US investors and building AI and data capability to support our team as our technical dataset and opportunity set grow.”
HyTerra will seek shareholder approval at an extraordinary general meeting in November 2026 for a 20:1 share consolidation.
The restructure aims to establish a conventional share price range, reduce share count without impacting proportional ownership, and ensure its OTCQB-quoted securities (HYTLF) maintain the US$0.01 minimum bid price requirement.
In tandem, HyTerra plans to establish a sponsored American Depositary Receipt (ADR) program to simplify equity access for US investors via domestic brokerages, creating a springboard for potential future US exchange listings without issuing new equity or diluting shareholders.
The company also intends to execute an unmarketable parcel sale facility to prune small-holding administrative overheads.
