IperionX Ltd. has revealed plans to shift its corporate domicile to the US as part of its next growth phase as an American titanium metal and critical materials business.
The proposed restructuring will establish a newly incorporated Texas parent company for the group, aligning IperionX’s legal domicile and capital markets setup with its operational footprint in the US.
Subject to shareholder, court, and regulatory approvals, the company expects its common stock to list directly on the Nasdaq, replacing its existing American Depositary Share (ADS) structure.
Management confirmed the redomiciliation will not alter the company’s core operations, assets, or strategic focus. IperionX’s US assets include the Titan critical minerals project in Tennessee, titanium production and advanced manufacturing facilities in Virginia, and research and development operations in Utah.
IperionX CEO Taso Arima said the corporate move reflects the company’s evolution into a fully integrated American titanium supplier.
“IperionX is an American industrial company in every operational and strategic sense,” Arima said.
“The proposed redomiciliation would complete that alignment at the corporate level. It would create a simpler investment structure for U.S. investors and better position IperionX to access the capital, market visibility and strategic relationships required to scale a fully American titanium supply chain.”
To strengthen governance ahead of its manufacturing scale-up, IperionX appointed Michael Loparco as an independent non-executive director, effective August 3.
Loparco brings over 25 years of advanced manufacturing and supply chain experience, having previously served as CEO of Symbotic Inc. and spent over two decades in senior executive roles at Jabil Inc.
IperionX Executive Chairman Todd Hannigan said Loparco’s background in scaling technology platforms and managing global supply chains will be directly relevant as the company progresses from capacity development into large-scale commercialisation.
